1. Terms of Service

1.1 Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by Waypoint ("Waypoint", "we", "us", or "our"), including the Waypoint hub at waypointt.com and all current and future Waypoint products and services (each a "Service", together the "Services").
By creating an account, accessing, or using any Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any Service-specific terms that apply. If you do not agree, do not use the Services.
Some Services have additional terms (see §7). Where Service-specific terms conflict with these general Terms, the Service-specific terms control for that Service.
1.2 Who we are
Waypoint is operated by Matthew Chan, a sole proprietor based in the Republic of Trinidad & Tobago. References to "Waypoint" include the operator. You can reach us at waypointtdevelopment@gmail.com.
1.3 Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Services. If you are between 13 and 17, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. The Services are not directed to children under 13, and we do not knowingly collect personal information from them. If you believe a child under 13 has provided us personal information, contact us and we will delete it.
By using the Services you represent that you meet these requirements and that the information you provide is accurate and current.
1.4 Accounts and registration
- Some Services require an account. Account creation may be subject to approval by us, and we may decline, suspend, or revoke access at our discretion.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.
- You may not share, sell, or transfer your account, or create an account using another person's identity.
- One person or entity may not maintain more than one account per Service except where we expressly permit it.
1.5 The Services and the Waypoint product family
Waypoint offers a suite of digital products. The current line-up is summarised below. We add, change, and retire products over time; the most current list is always the one published on waypointt.com.

1.6 Free and paid tiers; subscriptions
Some Services are free; some offer paid tiers or features. Where a Service has paid features:
- Pricing, billing frequency, and what each tier includes are described at the point of purchase or on the Service's pricing page.
- Paid features are billed through our payment processor (currently WiPay for Trinidad & Tobago transactions). We do not store your full card details; payment processing is handled by the processor under its own terms and privacy policy.
- Subscriptions renew automatically unless cancelled before the renewal date, where applicable. You can cancel at any time; cancellation stops future billing and takes effect at the end of the current paid period.

During the closed beta, Services are generally provided free of charge and "as-is"; see the Beta Programme Terms.
1.7 Your content and data
- You own your content. You retain all rights to the data and content you create, upload, or store in the Services (for example, your financial records in Balance/Ledger, your workout and meal data in Pulse, your business data, and website content). We claim no ownership of it.
- You grant us a limited licence to host, store, process, transmit, back up, and display your content solely to operate and provide the Services to you (including generating AI-assisted outputs you request — see §7.5). This licence ends when you delete the content or close your account, subject to reasonable backup retention and legal requirements.
- You are responsible for your content and for having the rights necessary to upload and use it. You must not upload content that infringes others' rights or breaks the law (see the Acceptable Use Policy).
- For business users (e.g. Ledger, Storefront, Soul), you are responsible for the personal data of your customers that you process using the Services, and for having a lawful basis to do so. As between you and us, you are the controller of that data and we are your processor.
1.8 Our intellectual property
The Services themselves — the software, code, design, branding, logos, the "Waypoint" name and product names, and all related materials — are owned by Waypoint and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Services except as the law expressly permits.
1.9 Acceptable use
Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms. In short: don't break the law, don't abuse the Services or other users, don't compromise security, and don't infringe anyone's rights.
1.10 Third-party services and content
The Services integrate or rely on third parties (for example, payment processing, email delivery, AI model providers, and — for Antenna — independently operated media sources). We are not responsible for third-party services or content, and your use of them may be subject to their own terms. Links to or aggregation of third-party content does not imply our endorsement or that we host or control that content.
1.11 Suspension and termination
- You may stop using a Service and close your account at any time.
- We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us or others, or if we discontinue a Service. Where reasonable and lawful, we'll give you notice.
- On termination, your right to use the Service ends. We may delete your content after a reasonable period; see the Privacy Policy for retention details. Provisions that by their nature should survive (e.g. ownership, disclaimers, limitation of liability, indemnity, governing law) survive termination.
1.12 Changes to the Services and to these Terms
We may modify, add, or discontinue Services or features at any time. We may also update these Terms. If we make material changes, we'll take reasonable steps to notify you (for example, by posting a notice on the site or emailing you). Changes take effect when posted unless stated otherwise. Continuing to use the Services after changes take effect means you accept the updated Terms.
1.13 Disclaimers and limitation of liability
Your use of the Services is subject to the Disclaimer of Warranties & Limitation of Liability in §9, which is an important part of this agreement.
1.14 Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Waypoint and its operator from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Services, or your breach of these Terms or the law.
1.15 Governing law and disputes
These Terms are governed by the laws of the Republic of Trinidad & Tobago, without regard to conflict-of-laws rules. You agree that the courts of Trinidad & Tobago have jurisdiction over any dispute, except where mandatory local consumer-protection law in your own country of residence gives you the right to bring proceedings there. We encourage you to contact us first at waypointtdevelopment@gmail.com so we can try to resolve any issue informally.
1.16 General
- Entire agreement. These Terms, plus the policies they incorporate, are the entire agreement between you and us regarding the Services.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the business.

2. Privacy Policy

This Privacy Policy explains what personal information Waypoint collects across all of its products and services, why, how we use and share it, how long we keep it, and the rights you have. It is written to meet the general privacy principles of Trinidad & Tobago's Data Protection Act, 2011, and — because our users and infrastructure may be located internationally — to follow the higher standard of frameworks such as the EU/UK GDPR where they apply to you.
2.1 Who is responsible for your data
Waypoint (operator: Matthew Chan), Trinidad & Tobago, is the data controller for personal information processed through the Services, except where you use a business product (Ledger, Storefront, Soul) to process your own customers' data — in which case you are the controller and we act as your processor on your behalf.

2.2 What we collect
We aim to collect only what we need to run the Services ("data minimisation"). Depending on which Services you use, this may include:
Account & identity data - Email address (used as your account key), and a securely hashed password. - Optional profile details you choose to provide (e.g. display name).
Service content you create or import — examples by product: - Balance / Ledger: financial records you enter or import — accounts, balances, transactions, credit-card and subscription data, customers, orders, stock. This can include data imported from your bank (e.g. statement imports). This is sensitive financial information and we treat it accordingly. - Pulse: fitness and nutrition data — workouts, exercises, meals, recipes, grocery lists, and any body or goal information you enter. Some of this may be health-related information, which we treat as sensitive. - Antenna: your channel/source preferences and viewing/usage within the app. - Soul / Storefront / Mortar: configuration, website content, and business data you create.
Technical & usage data - Log and device data such as IP address, browser/device type, timestamps, and actions taken, used for security, debugging, and improving the Services. - Authentication tokens stored in your browser to keep you logged in (see the Cookie & Local Storage Notice).
Payment data - When you buy a paid feature, our payment processor collects and processes your payment details. We do not receive or store your full card number. We may receive limited confirmation data (e.g. that a payment succeeded, last four digits, billing reference).
Communications - Emails and messages you send us (e.g. support requests), and our replies.
We do not sell your personal information, and we do not use it for third-party advertising. Waypoint products are ad-free.
2.3 Why we use your data, and our legal basis

Where we rely on consent (for example, certain optional features or marketing emails, if we ever send them), you can withdraw it at any time.
2.4 AI features and third-party model providers
Some Services include AI-assisted features (for example Pulse's AI Coach, Soul, and other assistant features). When you use a feature that requires AI processing, the relevant inputs may be sent to a third-party AI model provider through our gateway in order to generate a response.
- We route AI requests through providers such as OpenRouter and NVIDIA (and the underlying models they serve). These providers process the data under their own terms and privacy policies.
- We design AI features to send only what's needed to fulfil your request, and many AI features have non-AI fallbacks that work without contacting any external provider.
- Please do not enter information into AI features that you would not want processed by a third-party provider. AI outputs may be inaccurate; see §7.5.
2.5 How we share your data
We share personal information only as needed to run the Services, and only with:
- Service providers / processors who help us operate — for example our payment processor (WiPay), email delivery (Gmail SMTP, used to send account and transactional email), our hosting provider (Contabo, our VPS host), and AI model providers (§2.4). They may only use the data to perform services for us.
- For Antenna: independently operated media sources whose content the app may point to. We don't transmit your personal data to them as part of providing Antenna beyond what your device necessarily exchanges when accessing third-party content.
- Legal & safety: where we believe in good faith that disclosure is required by law, or necessary to protect rights, safety, or the integrity of the Services.
- Business transfer: if the business is sold or reorganised, data may transfer as part of that transaction, subject to this Policy.
We do not sell your data or share it with advertisers.
2.6 International data transfers
Our infrastructure is hosted on a VPS provided by Contabo (located in the European Union), and some of our processors (e.g. AI providers, payment, email) may process data in other countries, including the United States and the EU. This means your personal information may be transferred to, stored in, and processed in countries other than your own, which may have different data-protection laws. Where required, we rely on appropriate safeguards for these transfers. Trinidad & Tobago's DPA expects comparable safeguards where personal information is disclosed outside Trinidad & Tobago, and we aim to meet that expectation.
2.7 How long we keep your data
- We keep your account and content for as long as your account is active, and as needed to provide the Services.
- Some products use soft-deletion / archiving before permanent removal. For example, certain Ledger records use a 30-day archive window before a scheduled purge. Deleted items may persist in this archive for that period and in routine encrypted backups for a limited time before being overwritten.
- When you close your account, we delete or anonymise your personal information within a reasonable period, except where we must keep certain records to comply with legal, accounting, security, or dispute-resolution requirements.
- Backups are rotated on a schedule; residual copies in backups are deleted in the ordinary course of rotation.
2.8 How we protect your data
We take security seriously and apply measures appropriate to the sensitivity of the data, including:
- Encrypted connections (HTTPS/TLS) for all traffic to the Services.
- Passwords stored only as salted hashes (bcrypt) — never in plain text.
- Key-based server access (no password SSH), firewalling, and default-deny network rules.
- Self-hosted data wherever practical, to reduce reliance on third parties (our "independence" principle).
- Authentication with session tokens, plus additional protections (e.g. multi-factor) for administrative access.
- Regular backups and monitoring.
No system is perfectly secure, and we can't guarantee absolute security, but we work to protect your information and to respond promptly if something goes wrong.
2.9 Data breaches
If a security incident affects your personal information, we will investigate and, where required by applicable law, notify you and/or the relevant authority without undue delay.
2.10 Your rights
Depending on where you live, you may have some or all of the following rights over your personal information:
- Access — get a copy of the data we hold about you.
- Correction — fix inaccurate or incomplete data (much of which you can edit directly in-app).
- Deletion — ask us to delete your data ("right to be forgotten").
- Portability — receive your data in a portable format, where applicable. Several products let you export your own data directly.
- Restriction / objection — limit or object to certain processing.
- Withdraw consent — where we rely on consent.
- Complain — to a data-protection authority. In Trinidad & Tobago this is the Office of the Information Commissioner.
To exercise any right, email waypointtdevelopment@gmail.com. We may need to verify your identity first. We'll respond within the timeframe required by applicable law.
2.11 Children
The Services are not directed to children under 13, and we do not knowingly collect their personal information. See §1.3.
2.12 Changes to this Policy
We may update this Policy from time to time. If changes are material, we'll take reasonable steps to notify you. The "Last updated" date at the top shows the current version.

3. Cookie & Local Storage Notice

Waypoint products are designed to be light on tracking. We do not use advertising cookies or third-party ad trackers.
We use a small amount of essential browser storage to make the Services work:

These are strictly necessary for the Services to function and to keep your account secure. Because they're essential (not advertising or analytics trackers), they don't require opt-in consent under most frameworks — but you can clear them at any time through your browser settings, which will log you out and reset preferences.
If we ever add optional analytics, we'll update this notice and, where required, ask for your consent first.

4. Acceptable Use Policy

This Acceptable Use Policy ("AUP") applies to everyone who uses any Waypoint Service and is part of the Terms of Service. The goal is simple: use the Services lawfully and don't harm others or the Services.
You must not:
- Break the law — use the Services for any illegal purpose, or to facilitate illegal activity, under the laws of Trinidad & Tobago or any jurisdiction that applies to you.
- Infringe rights — upload, share, stream, or distribute content you don't have the rights to, including content that infringes copyright, trademark, or other intellectual-property or privacy rights (see the DMCA / Copyright Policy).
- Abuse security — attempt to gain unauthorised access to the Services, other accounts, or our infrastructure; probe, scan, or test vulnerabilities without authorisation; bypass authentication or rate limits; or interfere with the integrity or performance of the Services. (Unauthorised access and related conduct may also be offences under TT's Cybercrime framework.)
- Introduce harm — upload or transmit malware, or use the Services to attack, overload, or disrupt any system or network.
- Misuse data — harvest or scrape personal data, or collect information about other users, without authorisation; use automated means to access the Services except as we permit.
- Abuse others — harass, threaten, defame, or impersonate any person or entity; post hateful, violent, or sexually exploitative content; or send spam or unsolicited commercial messages.
- Misuse AI features — use AI features to generate unlawful, harmful, infringing, or deceptive content, or to attempt to extract other users' data or our confidential information.
- Resell or overburden — resell, sublicense, or commercially exploit the Services without our permission, or place an unreasonable load on our infrastructure.
Business users are additionally responsible for ensuring their own customers' data is handled lawfully and that their use of products like Ledger, Storefront, and Soul complies with applicable consumer-protection and data-protection law.
Enforcement. We may investigate suspected violations and may remove content, suspend or terminate accounts, and report unlawful activity to authorities. We may act immediately and without notice where there is risk of harm, legal exposure, or ongoing infringement.

5. DMCA / Copyright & Takedown Policy

This policy is especially important for Antenna. Please also read the Antenna service terms in §7.3.
Waypoint respects intellectual-property rights and expects its users and any third-party content sources to do the same. This policy explains how to report content you believe infringes your rights, and our approach to handling such reports.
5.1 Waypoint does not host third-party media content
Certain Services — in particular Antenna — aggregate, index, or link to media streams and channels that are hosted and operated by independent third parties. Waypoint does not store, host, upload, broadcast, or control that third-party content, and does not own the trademarks, logos, or content that may appear through those third-party sources. Antenna is a directory/aggregation tool that points to externally hosted streams.
Because we don't host that content, the most effective remedy for infringement is often with the host that actually stores or transmits the stream. Where the alleged infringement concerns a source surfaced through a Waypoint Service, we will act on valid reports as described below (for example, by removing or disabling the link, listing, or source within our Service).
5.2 How to submit a takedown notice
If you are a copyright owner (or authorised to act for one) and believe content accessible through a Waypoint Service infringes your copyright, send a notice to waypointtdevelopment@gmail.com with the subject line "Copyright Takedown" including:
- Your full name, organisation (if any), and contact details.
- Identification of the copyrighted work you claim is infringed.
- Identification of the specific material/listing/source within the Service and enough detail for us to locate it (e.g. channel name, URL, screenshot).
- A statement that you have a good-faith belief the use is not authorised by the owner, its agent, or the law.
- A statement that the information in your notice is accurate, and that you are the owner or authorised to act on the owner's behalf.
- Your physical or electronic signature.
We may act on properly substantiated notices even where not every element above is present, but complete notices let us act fastest.
5.3 What we do with a valid notice
On receiving a valid report, we will, in appropriate circumstances and at our discretion, remove or disable access to the identified listing, link, or source within the Service, and/or take other reasonable steps. We may notify the user or source responsible.
5.4 Counter-notice
If you believe content was removed in error (for example, you hold the rights or have a licence), you may submit a counter-notice to the same address with your contact details, identification of the removed material, and a good-faith statement explaining the basis for restoration. Knowingly submitting a false notice or counter-notice may expose you to liability, including for damages and costs.
5.5 Repeat infringers
We will, in appropriate circumstances, terminate the accounts of users who are repeat infringers, and we may remove or permanently exclude third-party sources that are the subject of repeated valid complaints.
5.6 User responsibility
Users are solely responsible for the content they access, stream, upload, or share, and for ensuring they have the right to do so. Using a Waypoint Service to access infringing content may violate the law and these policies, and is at the user's own risk.

6. Beta Programme Terms

Waypoint Services are currently offered through a closed beta to a limited number of users. These Beta Programme Terms apply in addition to the Terms of Service while a Service is in beta. If anything here conflicts with the general Terms, these beta terms control during the beta.
- As-is, no guarantees. Beta Services are provided "as-is" and "as-available," for evaluation. They may be incomplete, contain bugs, change, or behave unexpectedly. There is no service-level agreement, uptime guarantee, or guarantee of data preservation during beta.
- Your data during beta. While we take reasonable care, data may be reset, lost, or migrated during beta. Please keep your own copies of anything important, and use the export features where available. Do not rely on a beta Service as your only record — especially for financial (Balance/Ledger) or other important data.
- Features may change or disappear. We may add, remove, or change features, pricing models, and tiers at any time. Features that are free in beta may later require payment.
- Feedback. If you send us feedback, suggestions, or bug reports, you grant us a free, perpetual, worldwide licence to use them to improve the Services, without obligation to you.
- Confidentiality (where applicable). If we mark certain beta features or information as confidential, please don't share them publicly until we release them.
- Ending the beta. We may end the beta, or your participation in it, at any time. We'll try to give reasonable notice and a way to export your data before a Service is shut down or transitioned out of beta.
- Liability. Our liability for beta Services is limited as set out in §9, and the as-is nature of beta is a key part of that allocation of risk.
By participating in the closed beta you acknowledge and accept these terms.
7. Service-Specific Terms & Disclaimers

These terms apply in addition to the general Terms of Service for the specific Services named. Where they conflict with the general Terms, these control for that Service.
7.1 Pulse (Fitness & Nutrition) — Health Disclaimer
Pulse provides fitness, workout, nutrition, recipe, and related wellness tools, including AI-assisted features such as an AI Coach.
- Not medical advice. Pulse is for general fitness and informational purposes only. It is not a medical device and does not provide medical, clinical, nutritional, or professional health advice, diagnosis, or treatment. Content and AI-generated plans are not a substitute for a qualified healthcare professional.
- Consult a professional. Talk to your doctor or a qualified professional before starting any exercise programme, changing your diet, or relying on any plan Pulse generates — especially if you are pregnant, have a medical condition, injury, allergy, or take medication.
- You exercise at your own risk. Physical activity carries inherent risks. You are responsible for exercising safely and within your limits. Stop and seek medical help if you feel unwell.
- AI and automated plans can be wrong. AI Coach, workout, recipe, and nutrition suggestions are generated automatically and may be inaccurate, incomplete, or unsuitable for you. Use judgement; don't follow a plan that seems unsafe.
- Not for emergencies. Pulse is not for medical emergencies. If you may be having an emergency, contact your local emergency services.
To the fullest extent permitted by law, Waypoint is not liable for any injury, health outcome, or loss arising from your use of Pulse.
7.2 Balance & Ledger (Finance) — Financial Disclaimer
Balance is a personal-finance tool; Ledger is a business-management tool. Both help you record and organise financial information.
- Not financial advice. Balance and Ledger are tools for tracking and organising your own data. They do not provide financial, investment, tax, accounting, or legal advice, and nothing they display is a recommendation.
- Consult a professional. For decisions about your finances, taxes, or business, consult a qualified accountant, financial adviser, or attorney.
- Your records are your responsibility. You are responsible for the accuracy of the data you enter or import, and for keeping your own independent records (for example, for tax or audit purposes). Imported data (such as bank-statement imports) should be checked for accuracy.
- No guarantee of accuracy. Calculations, summaries, categorisations, and AI-assisted insights may contain errors. Verify anything you rely on.
- Business users are responsible for their own legal and regulatory obligations, including how they handle their customers' personal and payment data.
To the fullest extent permitted by law, Waypoint is not liable for financial losses, tax consequences, or business decisions arising from your use of Balance or Ledger.
7.3 Antenna (IPTV / Media Aggregation)
Antenna is a free media-aggregation and channel-directory tool. It helps you discover and navigate media streams and channels.
- We don't host or broadcast content. Antenna does not store, host, upload, or transmit the media content itself. Streams and channels are hosted and operated by independent third parties. Antenna points to or indexes content that already exists elsewhere on the internet.
- No ownership / no endorsement. We do not own and do not claim any rights in third-party channels, streams, logos, trademarks, or content that may appear through Antenna, and listing a source does not imply endorsement, affiliation, or that the source is licensed.
- You are responsible for what you access. You are solely responsible for ensuring that your access to and use of any content through Antenna is lawful in your jurisdiction and that you have any necessary rights or permissions. Accessing infringing or unlicensed content may be illegal — do not use Antenna for unlawful purposes.
- Availability varies. Third-party sources can change, break, geo-restrict, or disappear at any time and are outside our control. We don't guarantee that any particular channel or stream is available, lawful, accurate, or safe.
- Copyright reports. Rights holders can report content via our DMCA / Copyright & Takedown Policy. We remove or disable infringing listings/sources within the Service on valid notice and terminate repeat infringers.
- No warranty. Antenna is provided "as-is." To the fullest extent permitted by law, Waypoint is not liable for third-party content, its legality, or anything arising from your access to it.
7.4 Soul & Storefront (Business Services)
Soul (AI assistant setup) and Storefront (website builder), and related infrastructure tools (e.g. Mortar), help businesses build and run an online presence.
- You own your business content and customer data, and you are the controller of any personal data of your own customers that you process using these Services. You must have a lawful basis for that processing and must comply with applicable consumer-protection and data-protection law.
- Compliance is yours. You are responsible for the legality of what you sell, publish, or communicate through these tools, and for your own terms, privacy notices, and disclosures to your customers.
- Service setup. Where we provide a paid setup service (e.g. Soul), the scope, deliverables, and fees are as agreed at the time. We provide reasonable skill and care but do not guarantee specific business results.
- AI components are subject to §7.5.
7.5 AI Features — Notice & Disclaimer
Several Services include AI-assisted features (e.g. Pulse AI Coach, Soul, and other assistant features).
- AI output can be wrong. AI-generated content may be inaccurate, incomplete, biased, outdated, or inappropriate for your situation. Don't rely on it as your sole basis for decisions, especially health (§7.1) or financial (§7.2) decisions. Always apply your own judgement and consult a professional where it matters.
- Third-party processing. Inputs to AI features may be sent to third-party model providers (e.g. via OpenRouter / NVIDIA) to generate responses. See Privacy Policy §2.4. Don't enter information you wouldn't want processed by a third party.
- No professional relationship. AI features do not create a doctor–patient, financial-adviser, attorney–client, or other professional relationship.
- Acceptable use. Don't use AI features to produce unlawful, infringing, harmful, or deceptive content (see the AUP).
8. Refund & Billing Policy

This policy applies to paid features of the Services. During the closed beta, most Services are free; where they're free, this policy doesn't apply.
8.1 Billing
- Paid tiers and one-off purchases are billed through our payment processor (WiPay for Trinidad & Tobago). Prices are shown at the point of purchase and are stated in Trinidad & Tobago Dollars (TTD) unless otherwise indicated.
- Subscriptions, where offered, renew automatically at the end of each billing period unless cancelled beforehand. We may notify you before renewal where required.
- You authorise us and our processor to charge your chosen payment method for the amounts shown.
8.2 Cancellation
You can cancel a subscription at any time from your account or by contacting us. Cancellation stops future renewals; it takes effect at the end of the current paid period, and you keep access until then.
8.3 Refunds
- Statutory rights. Nothing here limits any non-waivable rights you have under the consumer-protection laws of Trinidad & Tobago or your country of residence (for example, the right to redress for a service that is defective or not as described).
- Our policy. Subscription and recurring fees are generally non-refundable once a billing period has begun, except where a refund is required by law. As a goodwill measure, if you are dissatisfied with a paid feature you may contact us within 14 days of the charge and we will review your case in good faith and may, at our discretion, offer a full or partial refund, credit, or other resolution. One-off setup or project fees (for example, Soul or Storefront builds) are governed by the scope and terms agreed at the time of that engagement.
- Faulty or misdescribed services. If a paid feature is materially defective or not as described, contact us and we'll work to fix it, or provide a repair, replacement, or refund as appropriate.
- How to request. Email waypointtdevelopment@gmail.com with your account email and order/reference details.
8.4 Failed payments and changes
- If a payment fails, we may suspend access to paid features until it's resolved.
- We may change prices and tiers; changes to recurring prices will be notified before they take effect and apply from your next billing period.
9. Disclaimer of Warranties & Limitation of Liability

9.1 Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided "as-is" and "as-available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected, or that any content (including third-party content surfaced through Antenna or AI-generated output) is accurate, complete, lawful, or reliable.
Some jurisdictions don't allow the exclusion of certain warranties, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including, where applicable, mandatory consumer-protection rights and liability for death or personal injury caused by negligence or for fraud.
9.2 Limitation of liability
To the fullest extent permitted by law:
- Waypoint and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Services — even if advised of the possibility.
- Waypoint's total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the total amount you paid to Waypoint for the relevant Service in the 12 months before the event giving rise to the claim, or (b) one thousand Trinidad & Tobago Dollars (TTD $1,000).
- These limits apply to all theories of liability (contract, tort, statute, or otherwise) and reflect a reasonable allocation of risk, especially given that many Services are offered free of charge and/or in beta.
9.3 Third-party content and services
We are not responsible for third-party content, websites, sources, or services that the Services link to, aggregate, or rely on (including third-party media via Antenna and third-party AI providers). Your dealings with them are between you and them.
